Terms of Service

Please read these Terms of Service (“Terms”) carefully before using Komodo (“the Service”) operated by Komodo (“we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Use of the Service

Komodo provides AI-powered tools for YouTube creators including SEO generation, thumbnail creation, caption editing, short-form clipping, channel analytics, and comment management. You may use the Service only as permitted by these Terms and any applicable laws and regulations.

You agree not to:

  • Use the Service to violate any applicable law or regulation;
  • Use the Service to generate or distribute spam, misleading content, content designed to defraud or impersonate, or content that violates YouTube’s Terms of Service or community guidelines;
  • Resell, sublicence, white-label, or otherwise provide the Service to third parties as your own product, or use a single account to manage channels owned by multiple unrelated parties (this includes agency-style usage outside the limits of your plan);
  • Attempt to reverse engineer, decompile, or extract the source code of the Service;
  • Use automated means (including scraping, bulk extraction, or scripted clients) to access the Service in a manner that exceeds reasonable usage or circumvents rate limits;
  • Harass, abuse, or threaten other users of the Service or members of the Komodo team;
  • Share your account credentials with any third party.

We reserve the right to refuse to process, or to remove from our systems, any content that we reasonably believe violates these Terms, applicable law, or the policies of integrated services (including YouTube). We are not obligated to monitor content but may do so at our discretion. Where we discover violations, we may suspend or terminate your account in accordance with Section 13 (Termination).

2. Accounts and eligibility

You must create an account to use the Service. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us immediately at hello@usekomodo.com of any unauthorised access.

Eligibility. You must be at least 16 years old to create an account. By using the Service you confirm that you meet this age requirement. If you are between 16 and 18 (or the age of majority in your jurisdiction), you confirm that you have permission from a parent or legal guardian to enter into these Terms.

One account per user. Accounts are intended for use by a single individual or single legal entity. You may not share your login with others. If you need access for multiple team members or clients, contact us about agency or team arrangements.

3. YouTube API and your content

By connecting your YouTube account, you authorise Komodo to access your channel data and, where you explicitly request it, to make changes to your YouTube content on your behalf. You are solely responsible for all content published to YouTube through the Service. Komodo acts as your agent in executing instructions you provide — we do not independently decide what content to publish.

Your use of YouTube through our Service is also subject to YouTube’s Terms of Service and Google’s Privacy Policy. Where these Terms conflict with YouTube’s terms in relation to YouTube-side activity, YouTube’s terms prevail.

4. Subscription and billing

Paid plans are billed monthly or annually in advance. Prices are displayed in GBP and are inclusive of any applicable VAT. Subscriptions renew automatically unless cancelled before the renewal date. Payments are processed by Stripe; we do not store your card details on our own systems.

Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. We do not provide refunds for partial billing periods except where required by law.

UK and EU cooling-off period. If you are a consumer in the UK or European Economic Area, you have a 14-day cancellation period under the Consumer Contracts Regulations 2013 (or equivalent local legislation) from the date you upgrade to a paid plan. By using paid features within that period, you expressly consent to immediate performance of the Service and acknowledge that you lose your right to cancel under those regulations once performance has begun. To exercise your right to cancel before the Service begins, contact us at hello@usekomodo.com within 14 days of your purchase.

Failed payments. If a recurring payment fails, we will attempt to collect payment for up to seven (7) days. During this period your subscription remains active. If payment is not successfully collected within that window, your account will be downgraded to the free plan. Your account data and generated content will be preserved, but access to paid features will be suspended until payment is restored.

Price changes. We reserve the right to change pricing with at least 30 days’ notice by email or in-app notification. Continued use of the Service after a price change takes effect constitutes acceptance of the new price; if you do not accept the new price, you may cancel before it takes effect.

5. Free plan

A free tier is available with limited features as described on the pricing page. Free-tier rendered captions exports include a Komodo watermark. We reserve the right to modify, restrict, or discontinue free tier features with reasonable notice. We may also limit or suspend free-tier access for accounts that abuse the free tier (for example, by creating multiple accounts to circumvent monthly quotas).

6. Intellectual property

Your content. You retain ownership of all content you create using the Service — titles, descriptions, thumbnails, captions, and generated short clips produced through Komodo belong to you. You grant Komodo a limited, worldwide, non-exclusive licence to process, transmit, display, and store your content solely to provide the Service to you.

Our platform. The Komodo platform, software, design, and branding are owned by us and protected by intellectual property laws. You may not use our name, logo, or branding without prior written permission, except to refer factually to Komodo in line with normal commercial usage.

Feedback. If you send us feedback, suggestions, feature requests, or ideas relating to the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use that feedback for any purpose, including incorporating it into the Service, without any obligation to credit or compensate you.

7. AI-generated content

Komodo uses AI to generate suggestions for titles, descriptions, tags, thumbnails, comment replies, channel reports, and short-form clips. These suggestions are provided as-is and may not always be accurate, appropriate, or optimal. You are responsible for reviewing all AI-generated content before publishing it to YouTube or to your audience. We do not guarantee that AI suggestions will improve your channel’s performance, comply with all applicable rules, or be free from error.

8. Service availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may suspend or discontinue features with reasonable notice. The Service depends on third-party providers (including YouTube, Google APIs, Anthropic, OpenAI, Stripe, Clerk, Supabase, Vercel, and Bunny CDN); we are not liable for losses arising from service interruptions caused by those providers or by other circumstances outside our reasonable control.

9. Beta and preview features

We may, from time to time, make features available as “beta”, “preview”, or otherwise labelled as not yet generally available. Beta features may be modified, restricted, or withdrawn at any time without notice. They may contain bugs and may not meet the reliability standards of generally-available features. Your use of beta features is at your own discretion, and we exclude liability for issues arising from their use to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Komodo and its officers, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

  • Your content or your use of the Service;
  • Your violation of these Terms;
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights;
  • Your violation of YouTube’s Terms of Service or community guidelines;
  • Any AI-generated content you publish, including any claim that such content is misleading, defamatory, infringing, or otherwise unlawful.

11. Limitation of liability

To the maximum extent permitted by law, Komodo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue, profits, data, goodwill, or business opportunities arising from your use of the Service.

Our total aggregate liability to you for any claim arising from these Terms or your use of the Service shall not exceed the greater of (a) the amount you paid to us in the three months preceding the event giving rise to the claim, or (b) £50.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law (for example, liability for death or personal injury caused by negligence, or for fraud).

12. Copyright and content complaints

We respect intellectual property rights. If you believe that content created using the Service, or content published via the Service, infringes your copyright or other rights, please send a notice to hello@usekomodo.com including:

  • Your name, contact details, and (if applicable) the rights holder you represent;
  • A description of the work or rights you say have been infringed;
  • A description of where the allegedly infringing material is located (URLs or screenshots if possible);
  • A statement made in good faith that the use is not authorised;
  • A statement that the information in your notice is accurate, and that you are the rights holder or authorised to act on the rights holder’s behalf.

We will review valid notices promptly and take appropriate action, which may include removing content, suspending the account responsible, or contacting the parties involved. We may share your notice with the user who created the content unless you ask us not to.

13. Termination

We may terminate or suspend your account at our discretion if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice. We may terminate without notice in cases of serious or repeated violation.

On termination by either you or us, your access to the Service ends immediately. For 30 days following termination, you may request an export of your generated content (titles, descriptions, captions, thumbnail files) by contacting hello@usekomodo.com; we will provide a reasonable export of available data. After 30 days, your account data will be deleted in accordance with our Privacy Policy. You can also request immediate deletion at any time.

Sections that by their nature should survive termination (including Intellectual property, Indemnification, Limitation of liability, and Governing law) will continue to apply after termination.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes arising out of or relating to these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, this does not affect any mandatory rights you have under the laws of your country of residence.

15. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you may cancel your account before they take effect.

16. General

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Komodo and supersede any prior agreements relating to the Service.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms (including in connection with a merger, acquisition, or sale of assets) to a successor entity, on notice to you.

Force majeure. We are not liable for any failure or delay in performance caused by events outside our reasonable control, including (without limitation) outages of third-party providers, denial-of-service attacks, network failures, natural disasters, acts of government, or armed conflict.

No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
